End User License Agreement (EULA) for IATF Change Management Extension for Business Central



1. Introduction
This End User License Agreement ("EULA") is a legal agreement between you ("Licensee" or "you") and FITS Magyarország Kft. ("Licensor" or "we") for the use of the IATF Change Management Extension for Business Central ("Software"). By downloading, installing, or using the Software, you agree to be bound by the terms of this EULA.

2. Grant of License
2.1 Demo Mode: Upon downloading the Software, you are granted a non-exclusive, non-transferable, limited license to use the Software in demo mode. In this mode, you are allowed to create up to 50 documents.
2.2 Full License: To use the Software beyond the demo mode, you must obtain a license key from the distributor. Upon activation with a valid license key, you are granted a non-exclusive, non-transferable license to use the Software according to the terms of this EULA.

3. License Key and Activation
3.1 License Key: The license key must be obtained from the authorized distributor and is required to activate the full functionality of the Software.
3.2 License Term: The validity period of the license key is subject to a separate agreement but shall be for a minimum of one year.
3.3 License Renewal: Upon expiration of the license key, you must obtain a new license key to continue creating new documents. Existing documents will remain accessible, and you can complete any documents that are in progress, but you will not be able to create new documents until a new license key is validated.

4. Restrictions
4.1 Prohibited Uses: You may not: 4.2 Compliance with Laws: You agree to use the Software in compliance with all applicable laws and regulations.

5. Termination
5.1 Termination by Licensor: Licensor may terminate this EULA if you fail to comply with any term(s) herein. Upon termination, you must cease all use of the Software and destroy all copies in your possession.
5.2 Effect of Termination: Upon termination of the license, you will no longer be able to create new documents, but you will retain access to existing documents, and in-progress documents can be completed.

6. Warranty Disclaimer
The Software is provided "AS IS" without warranty of any kind. Licensor disclaims all warranties, express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. Licensor does not warrant that the Software will meet your requirements or that its operation will be uninterrupted or error-free.

7. Limitation of Liability
In no event shall Licensor be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, business interruption, loss of information) arising out of the use of or inability to use the Software, even if Licensor has been advised of the possibility of such damages.

8. Governing Law
This EULA shall be governed by and construed in accordance with the laws of Hungarian, without regard to its conflict of law principles.

9. Miscellaneous
9.1 Entire Agreement: This EULA constitutes the entire agreement between you and Licensor concerning the Software and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and Licensor.
9.2 Amendments: Licensor reserves the right to modify this EULA at any time by providing such revised terms to you or by publishing the revised terms on our website.
9.3 Severability: If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions of this EULA will remain in full force and effect.
